1. Definitions
In these Terms:
- "Service" refers to AI integration consulting, employee training, process scoping, and strategic advisory programs offered by Bodhi Code.
- "User" means any individual or organisation accessing this website or engaging our services.
- "We / Us / Our" refers to Bodhi Code, operating from 203 Ngamwongwan Road, Nonthaburi 11000, Thailand.
- "Agreement" means these Terms & Conditions, together with any service agreement or engagement letter.
- "Content" refers to all materials, reports, training resources, and documents we produce in connection with your engagement.
2. Acceptance of Terms
By using this website or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms & Conditions in full. If you are engaging on behalf of an organisation, you confirm that you are authorised to do so.
3. Service Description
Bodhi Code provides AI integration consulting and workforce training services, including:
- AI Foundations for Teams — group training programs
- Process Automation Scoping — consulting and feasibility assessment
- AI Transformation Roadmap — strategic advisory and planning
Services are available to organisations based in Thailand and may be delivered on-site, remotely, or in a blended format, as agreed in writing prior to commencement.
4. Engagement Process
All service engagements are confirmed through a written agreement that specifies scope, deliverables, timeline, and fees. No work begins until both parties have signed the engagement letter. Verbal commitments are not binding.
5. User Responsibilities
As a user of our website and client of our services, you agree to:
- Provide accurate and complete information when requested
- Respond to reasonable requests for input in a timely manner
- Not misrepresent your organisation's situation in ways that affect the scope of our work
- Not use this website for any unlawful purpose or in a manner that infringes the rights of others
- Not attempt to gain unauthorised access to any part of this website or its systems
6. Prohibited Activities
You must not:
- Use any content from this website for commercial purposes without our written consent
- Reproduce, distribute, or republish materials produced by Bodhi Code without authorisation
- Submit false or misleading information through our contact forms
- Attempt to interfere with or disrupt the operation of this website
7. Intellectual Property
All content on this website — including text, graphics, design, and methodology descriptions — is the intellectual property of Bodhi Code and is protected under applicable Thai and international law. You may not reproduce, adapt, or use our materials without our prior written consent.
Documents and materials produced during a client engagement are delivered to the client upon completion of payment. Bodhi Code retains the right to use anonymised versions of methodologies and frameworks for internal development purposes.
8. Payment Terms
Program fees are quoted in Thai Baht (THB) and are payable as specified in the engagement letter. Unless otherwise agreed:
- A deposit of 50% is required to confirm the engagement
- The remaining balance is due upon delivery of final deliverables
- Invoices are payable within 14 days of issue
Fees are non-refundable once an engagement has commenced, except where Bodhi Code is unable to fulfil the agreed scope due to circumstances within our control.
9. Service Delivery Terms
We commit to delivering services with reasonable skill and care. Timelines are agreed in writing and are contingent on timely input and cooperation from the client organisation. Delays caused by the client may result in revised delivery schedules without penalty to Bodhi Code.
10. Disclaimers
Our services are advisory in nature. We do not provide legal, financial, or regulatory compliance advice. While we take care to ensure the accuracy of our recommendations, we cannot warrant specific business outcomes. All recommendations are provided in good faith based on the information available at the time of the engagement.
11. Limitation of Liability
To the fullest extent permitted by Thai law, Bodhi Code's total liability to you in connection with any engagement is limited to the fees paid for that specific engagement. We are not liable for indirect, consequential, or incidental losses arising from the use of our services or website.
12. Confidentiality
Both parties agree to treat as confidential all non-public business information shared during an engagement. This obligation continues for two years following the conclusion of the engagement. We operate under formal non-disclosure agreements upon request.
13. Termination
Either party may terminate an engagement by providing written notice. In the event of client termination, fees for work completed to date remain payable. In the event of Bodhi Code termination due to client breach, outstanding fees for completed work are immediately due.
14. Dispute Resolution
We encourage resolution of disputes through direct discussion in the first instance. If a dispute cannot be resolved informally within 30 days, it will be referred to mediation. If mediation is unsuccessful, disputes will be subject to the exclusive jurisdiction of the courts of Thailand, governed by Thai law.
15. General Provisions
- Entire Agreement: These Terms, together with any signed engagement letter, constitute the full agreement between the parties.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any term does not constitute a waiver of the right to do so in future.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
16. Changes to Terms
We may update these Terms periodically. Updates will be published on this page with a revised date. Continued use of this website after an update constitutes acceptance of the revised Terms.
